Abu Dhabi Ship Building PJSC has announced that it will hold its first Board of Directors meeting of 2024 on 21st March. The meeting will discuss the approval of the previous meeting's minutes, the financial statement for 2023, the date and agenda of the Annual General Assembly, the amended proposal of Board Fees, and updates on ongoing projects.
The Board of Directors of Foodco National Foodstuff PJSC met via video conference on March 18, 2024. Four board members were present, achieving an 80% quorum. The minutes from the previous meeting were approved, as was the financial statement for the period ending December 31, 2023, which reported a net loss of AED 14.588 million, an improvement from the net loss of AED 18.860 million in the same period of 2022. The Board decided to call for a General Assembly Meeting on April 23, 2024 (subject to MOE approval) and proposed no dividend distribution for the year 2023.
The text is a formal letter from Rami Raslan, Group Company Secretary of Abu Dhabi Commercial Bank (ADCB), to the Disclosures and Compliance Section of the Market Operations Surveillance Department at Abu Dhabi Securities Exchange. SHUAA Capital has initiated a consent solicitation to modify the terms and conditions of its USD 150 million outstanding bonds, due on 31 March 2024. The proposal, which has already received support from over 25% of noteholders, is part of SHUAA's broader capital optimisation plans. The company aims to adjust its debt repayment profile and facilitate new capital participation. If bondholders agree to the proposal and regulatory approvals are obtained, SHUAA plans to increase its capital to achieve a sustainable capital structure. The proposal also offers a cash settlement and the chance to participate in the company's equity to noteholders.
The GFH Financial Group B.S.C. has announced the acquisition of 11,335,345 of its own shares, also known as treasury shares, on 18th March 2024. This purchase has increased the total holding of treasury shares from 159,117,436 (4.15% of the total issued shares) to 170,452,781 (4.45% of total issued shares). The decision to purchase was taken in a board meeting in September 2021, and the authority approval for the purchase was given on 11th March 2024. The average purchase price was USD 5820 per share.
